Scorecard Sync

Terms of Service

These Terms of Service (“Terms“) govern your access to and use of Scorecard Sync (the “App“), a HubSpot Marketplace application provided by Human Code (“Human Code,” “we,” “us,” or “our“) that connects your HubSpot CRM data to your Strety scorecard metrics. By installing, connecting, or using the App, you agree to these Terms. If you don’t agree, don’t install or use the App.

The Service

 

The App reads data from your HubSpot account based on filters you configure, computes an aggregate value (sum, average, or count), and writes that value into your Strety scorecard on a schedule you set. The App requires an active HubSpot account and an active Strety account, both of which you are responsible for maintaining under your own agreements with those providers.

Eligibility

 

You must have the authority to connect the App to your organization’s HubSpot account — typically as a HubSpot account administrator or someone authorized to grant third-party app access. By connecting the App, you represent that you have this authority.

Free of Charge; Future Pricing

 

Scorecard Sync is currently provided free of charge. We reserve the right to introduce paid plans, pricing tiers, or usage-based fees in the future. If we do, we’ll provide reasonable advance notice before any charges apply to your account, and continued use of a paid feature after that notice constitutes acceptance of the applicable pricing. Nothing in these Terms obligates us to keep any part of the App free indefinitely.

License Grant and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your internal business purposes. You agree not to:

  • Reverse engineer, decompile, or attempt to extract the App’s source code
  • Resell, sublicense, or provide the App to third parties as your own offering
  • Use the App to violate HubSpot’s or Strety’s own terms of service, developer policies, or acceptable use policies
  • Use the App in any way that could damage, disable, or impair its operation or that of HubSpot’s or Strety’s platforms


Your Responsibilities

 

You are responsible for:

  • The accuracy of the filters, calculations, and sync schedules you configure within the App
  • Maintaining valid, active accounts with both HubSpot and Strety
  • Ensuring your use of the App complies with your own obligations under applicable law and under your agreements with HubSpot and Strety
  • Reviewing computed values pushed into your Strety scorecards for accuracy — the App reports what your configured filters return, and misconfigured filters will produce misleading results


Third-Party Services

The App integrates with HubSpot and Strety, which are independent platforms not owned or controlled by Human Code. We are not responsible for:

  • The availability, performance, security, or functionality of HubSpot or Strety
  • Changes either platform makes to their APIs, data models, or terms that affect how the App functions
  • Any data, content, or configuration that lives within your HubSpot or Strety accounts

Your use of HubSpot and Strety remains governed by your own agreements with those companies.


Data and Privacy

Our handling of the data the App accesses is described in our Privacy and Data Use Policy, which is incorporated into these Terms by reference.


Intellectual Property

The App, including its design, code, and branding, is owned by Human Code and protected by applicable intellectual property laws. These Terms don’t grant you any ownership rights in the App. “HubSpot” and “Strety” are trademarks of their respective owners, and reference to them here doesn’t imply any affiliation, sponsorship, or endorsement beyond the integration itself.


Disclaimer of Warranties

The App is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don’t warrant that the App will be uninterrupted, error-free, or that computed values will always be accurate, and we don’t warrant that HubSpot’s or Strety’s APIs will remain compatible with the App at all times.


Limitation of Liability

To the fullest extent permitted by law, Human Code will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the App. Because the App is provided free of charge, our total aggregate liability to you for any claim arising out of or related to the App is limited to CAD $100.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.


Termination

You may stop using the App at any time by uninstalling it from your HubSpot account, which immediately revokes its access to your data. We may suspend or terminate your access to the App at any time, with or without notice, including if we reasonably believe you’ve violated these Terms. Upon termination, the license granted under “License Grant and Restrictions” above ends immediately.


Changes to the App or These Terms

We may modify, suspend, or discontinue the App, in whole or in part, at any time. We may also update these Terms from time to time; we’ll update the “Last updated” date above when we do. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.


Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the App will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.


General

  • Entire agreement: These Terms, together with our Privacy and Data Use Policy, constitute the entire agreement between you and Human Code regarding the App.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • No waiver: Our failure to enforce any provision isn’t a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
